The rapid expansion of artificial intelligence is demanding a new financial structure at Meta. As the company reported strong third-quarter earnings on Wednesday, it confirmed plans to issue a novel class of non-voting stock. This move is designed to secure the necessary funding for its aggressive AI buildout without diluting the voting power of its current leadership and major shareholders.

During the earnings call, Chief Financial Officer Susan Li detailed the strategy. She explained that the new shares will be distributed as a stock dividend to all existing holders. Li stated that the goal is to create a publicly traded instrument that can be used for capital raising, employee compensation, and acquisitions. This approach preserves the voting rights of Class A and B shareholders, thereby maintaining the company's founder-led structure while providing greater flexibility in investment.

The financial results backing this decision were significant. Meta generated $64 billion in revenue for the quarter, marking a 26% increase from the same period last year. However, the aggressive spending came with a cost, as expenses rose by 68% year-over-year. The Reality Labs division, responsible for virtual and augmented reality hardware and software, continues to operate at a loss. The company expects these losses to narrow from their 2025 levels to a range between $18 billion and $19 billion.

Meta has intensified its AI efforts over the past year, launching several models including Muse Spark, Muse Glimmer, and the open-weight Muse Spark Open. It also introduced Muse Code, a tool for software developers, and new avatar options for its AI assistant at the recent Meta Connect event. These initiatives appear to be resonating with users. CEO Mark Zuckerberg noted that more than 10 million people in the U.S. and Canada have set up Muse personal agents in just six weeks.

Zuckerberg described the product as having reached a clear fit with the market. He indicated that the company is now entering a phase focused on scaling operations to serve billions of people. The AI assistant has maintained a top position in the App Store nearly every day, signaling strong consumer engagement. This momentum is driving the company's desire to invest heavily in infrastructure and development.

Despite the growth, challenges remain. Li acknowledged that the company is monitoring active legal and regulatory matters that could impact its financial results. Specifically, she highlighted increased scrutiny regarding youth-related issues in several markets. Meta has several trials related to these concerns scheduled for the coming months in the United States, adding a layer of uncertainty to its forward-looking plans.

The issuance of non-voting shares represents a strategic shift in how Meta manages its balance sheet. By creating a separate class of equity, the company aims to balance the need for substantial capital with the desire to retain control. This financial maneuvering will allow Meta to continue its heavy investment in AI while navigating the complex landscape of public markets and regulatory oversight.
